1. Acceptance of Terms

By installing, accessing, or using the CZ Names application (“the App”, “the Service”), you (“Merchant”, “you”, “your”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not install or use the App.

These Terms constitute a legally binding agreement between you and SoundsGood Agency s.r.o. (“we”, “us”, “our”, “the Provider”), a company registered in the Czech Republic.

2. Description of Service

2.1 Overview

The App is a Shopify application that provides Czech name declension (grammatical inflection) for e-commerce stores. It automatically declines Czech customer first names into the 5th grammatical case (vocative) for use in personalized emails, notifications, and marketing communications.

2.2 Core Features

The App provides the following features:

2.3 Name Declension Processing

The App processes customer first names through the following workflow:

When a new customer is created or an existing customer is updated, the App retrieves the customer’s first name
The first name is sent to the sklonovani-jmen.cz API for declension into the vocative case
The declined name form is stored as a Shopify customer metafield
The declined name is available for use in Liquid templates, email notifications, and Klaviyo campaigns

2.4 Third-Party API Integration

The App relies on the sklonovani-jmen.cz API for name declension processing. This is a third-party service that provides Czech name grammatical inflection. The accuracy of name declension depends on the coverage and quality of the sklonovani-jmen.cz name database.

3. Eligibility

3.1 Requirements

To use the App, you must:

Have an active Shopify store with a valid Shopify subscription
Be authorized to install applications on the Shopify store
Accept these Terms and Conditions
Accept our Privacy Policy
Be at least 18 years of age or the age of legal majority in your jurisdiction

3.2 Target Market

The App is designed primarily for stores serving Czech-speaking customers. While the App can be installed on any Shopify store, name declension is limited to Czech names (with partial support for Slovak names). Names from other languages may not be declined correctly or at all.

4. Account and Access

4.1 Installation

The App is installed through the Shopify App Store. Installation grants us access to your Shopify store data as described in our Privacy Policy and as authorized through Shopify’s OAuth permission system.

4.2 API Permissions

By installing the App, you authorize us to access your Shopify store through the following API scopes:

Customer data (read_customers, write_customers): For reading customer first names and writing declined name metafields
Metafield management: For storing declined name forms as customer metafields
Order data (read_orders): For processing customer names associated with orders

4.3 Store Configuration

You are responsible for:

Configuring Liquid templates or Klaviyo flows to use the declined name metafields
Ensuring customer data in your store contains valid first names
Selecting and activating an appropriate subscription plan

4.4 Account Security

You are responsible for maintaining the security of your Shopify account and any credentials provided to the App. You must notify us immediately if you suspect unauthorized access to your account or data.

5. Subscription Plans and Billing

5.1 Available Plans

Prices are in US Dollars and are subject to applicable taxes.

5.2 Free Trial

The subscription plan includes a 7-day free trial period. During the trial:

You have full access to all App features
No charges are applied during the trial period
The trial begins upon plan activation
If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription

5.3 Billing Cycle

Billing is processed monthly through Shopify’s built-in billing system
Charges appear on your Shopify invoice
You authorize Shopify to charge your payment method on file for App subscription fees

5.4 Cancellation

You may cancel your subscription at any time through the App’s billing page or by uninstalling the App
Upon cancellation, your access to paid features will end at the conclusion of the current billing period
No refunds are provided for partial billing periods unless required by applicable law
Cancellation of the subscription does not delete your data; see our Privacy Policy for data retention details

5.5 Price Changes

We reserve the right to modify subscription prices with at least 30 days’ advance notice. Price changes will apply to the next billing cycle after the notice period. Continued use of the App after a price change constitutes acceptance of the new pricing.

6. Acceptable Use

6.1 Permitted Use

You may use the App solely for its intended purpose: declining Czech customer first names into the vocative case for personalized communications in your Shopify e-commerce store.

6.2 Prohibited Activities

You agree not to:

Use the App for any unlawful purpose or in violation of any applicable laws
Attempt to reverse-engineer, decompile, or disassemble the App
Attempt to gain unauthorized access to the App’s systems, servers, or databases
Use the App to transmit malware, viruses, or other harmful code
Interfere with or disrupt the App’s infrastructure or other users’ access
Share, resell, or sublicense your App access to third parties
Use automated tools to excessively call the App’s API endpoints
Misrepresent your identity or the nature of your business
Use the App in a manner that could damage, disable, or impair our services

6.3 Rate Limits

We reserve the right to implement rate limits on API usage. Excessive API calls that threaten system stability may result in temporary access restrictions.

7. Intellectual Property

7.1 Ownership

The App, including all code, design, documentation, trademarks, and related materials, is the intellectual property of SoundsGood Agency s.r.o. These Terms do not transfer any ownership rights to you.

7.2 License Grant

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose during your active subscription.

7.3 Your Content

You retain ownership of all data, content, and configurations you create through the App. You grant us a limited license to process this data solely to provide the Service.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the App, you grant us the right to use such feedback without restriction or compensation.

8. Third-Party Services

8.1 Shopify Platform

The App operates within the Shopify platform and is subject to Shopify’s Terms of Service, Acceptable Use Policy, and API Terms. Your use of the App does not modify your relationship with Shopify.

8.2 Name Declension API (sklonovani-jmen.cz)

The App uses the sklonovani-jmen.cz API for Czech name declension processing. This is a third-party service and we are not responsible for:

The accuracy or completeness of name declension results
API availability or service interruptions
Changes to the name database coverage
The handling of data by sklonovani-jmen.cz (refer to their own terms and privacy policy)

8.3 Klaviyo (Optional Integration)

If you choose to use the Klaviyo integration, your use of Klaviyo is subject to Klaviyo’s own terms and conditions. We are not responsible for Klaviyo’s service availability, data handling, or any issues arising from the Klaviyo platform.

9. Data and Privacy

9.1 Privacy Policy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. The Privacy Policy is incorporated into these Terms by reference.

9.2 Data Processing Agreement

For purposes of the EU General Data Protection Regulation (GDPR):

You (Merchant) are the data controller for your customers’ personal data
We (SoundsGood Agency) act as a data processor when processing customer data on your behalf
We process customer data solely to provide the Service as described in these Terms and our Privacy Policy

9.3 Data Scope

The App processes only customer first names for the purpose of grammatical declension. Declined name forms are stored as Shopify customer metafields within your store. Customer first names are sent to the sklonovani-jmen.cz API solely for declension processing; no other customer data is shared with this third-party service.

9.4 Your Obligations

As a data controller, you are responsible for:

Ensuring you have a lawful basis to process customer data through the App
Providing appropriate privacy notices to your customers
Responding to customer data subject requests (we will assist as needed)
Complying with applicable data protection laws in your jurisdiction

9.5 Data Security

We implement reasonable technical and organizational measures to protect data as described in our Privacy Policy. However, no system is completely secure, and we cannot guarantee absolute data security.

10. Service Availability

10.1 Uptime

We strive to maintain high availability of the App but do not guarantee uninterrupted access. The App may be temporarily unavailable due to:

Scheduled maintenance (we will provide reasonable advance notice when possible)
Emergency maintenance or security updates
Shopify platform outages or maintenance

Force majeure events

10.2 Modifications

We reserve the right to modify, update, or discontinue features of the App at any time. For material changes that reduce functionality:

We will provide at least 30 days’ advance notice
You may cancel your subscription if the changes materially affect your use

11. Warranties and Disclaimers

11.1 Service Warranty

We warrant that the App will perform materially in accordance with its published documentation and feature descriptions. If the App fails to meet this warranty, your sole remedy is to contact us for a fix or, if we cannot resolve the issue within a reasonable time, to cancel your subscription.

11.2 Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED
WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS
WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF NAME DECLENSION RESULTS, AS THESE DEPEND ON THE THIRD-PARTY sklonovani-jmen.cz DATABASE
WE ARE NOT RESPONSIBLE FOR ANY LOSSES ARISING FROM INCORRECT NAME DECLENSION IN CUSTOMER COMMUNICATIONS
WE DO NOT WARRANT COMPATIBILITY WITH ALL SHOPIFY THEMES, CONFIGURATIONS, OR THIRD-PARTY APPS

11.3 Name Declension Accuracy

Name declension results are sourced from the sklonovani-jmen.cz third-party service. Accuracy depends on the name database coverage and may vary for uncommon names, foreign names, or names with multiple valid declension forms. We do not independently verify declension results and are not liable for inaccuracies.

12. Limitation of Liability

12.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Costs of procurement of substitute services
Damages arising from incorrect name declension in customer communications
Damages caused by unauthorized access to your account
Damages resulting from your failure to properly configure the App
Damages arising from Shopify platform issues or changes
Damages arising from sklonovani-jmen.cz API failures or inaccuracies

12.3 Essential Purpose

The limitations in this section apply even if any limited remedy fails of its essential purpose.

13. Indemnification

You agree to indemnify, defend, and hold harmless SoundsGood Agency s.r.o. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

Your violation of these Terms
Your violation of any applicable law or regulation
Your misuse of the App
Claims by third parties arising from your use of the App
Disputes between you and your customers relating to personalized communications generated using the App

14. Termination

14.1 Termination by You

You may terminate these Terms at any time by:

Cancelling your subscription through the App’s billing page
Uninstalling the App from your Shopify store
Contacting us at integrace@soundsgood.agency

14.2 Termination by Us

We may suspend or terminate your access to the App:

Immediately, if you violate these Terms or engage in prohibited activities
Immediately, if we detect fraudulent or abusive use
With 30 days’ notice, if we discontinue the App entirely
Immediately, if required by law or legal process
Immediately, if your Shopify store is suspended or terminated

14.3 Effects of Termination

Upon termination:

Your right to use the App ceases immediately
We will process data deletion according to our Privacy Policy
OAuth sessions are deleted immediately
Access tokens are revoked
Billing is cancelled (no refund for the current period)
Customer metafields created by the App may persist in your Shopify store after uninstallation

14.4 Survival

The following sections survive termination: Section 7 (Intellectual Property), Section 11 (Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 16 (Governing Law), and Section 17 (Dispute Resolution).

15. Changes to Terms

15.1 Modification

We reserve the right to modify these Terms at any time. When we make material changes:

We will update the “Last Updated” date at the top of this document
We will notify you through the App’s admin interface or via email at least 30 days before the changes take effect
Continued use of the App after the effective date of changes constitutes acceptance

15.2 Non-Material Changes

For non-material changes (e.g., formatting, clarification of existing terms), we may update these Terms without prior notice.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Czech Republic, without regard to conflict of law principles. The applicability of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at integrace@soundsgood.agency to attempt to resolve any dispute informally. We will make good-faith efforts to resolve disputes within 30 days.

17.2 Jurisdiction

If informal resolution is unsuccessful, any legal proceedings shall be brought exclusively before the courts of the Czech Republic, specifically the courts in Prague.

17.3 EU Consumer Rights

If you are an EU consumer, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App, superseding any prior agreements or communications.

18.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

18.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, wars, pandemics, government actions, internet outages, or third-party service failures.

18.6 Notices

Notices to you will be sent to the email address associated with your Shopify store or displayed within the App. Notices to us should be sent to integrace@soundsgood.agency.

18.7 Language

These Terms are drafted in English. If translated into another language, the English version shall prevail in case of discrepancy.
